These Terms and Conditions (“Terms”) describe the terms under which SSA DATAMOTION LTD, legal entity incorporated under the laws of Cyprus with the registration number ΗΕ 452520, located at Agias Zonis & THessalonikis, NICOLAOU PENTADROMOS CENTER, Floor 10, Flat/Office 1001 BLOCK B 3026, Lemesos, Cyprus (“PartnerScout”, “We”, “Our”, “Us”) provides access to its online referral platform.

By accessing and/or using our Services:

a) you agree to be bound by these Terms and acknowledge having read the Privacy Policy located at https://partnersscout.com/privacy (“Privacy Policy”);

b) you warrant that you are legally competent to enter into this agreement; and

c) if you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must immediately stop using our Services.

You and Us are each referred to as a “Party” and collectively as the “Parties”.

1Definitions

For the purposes of these Terms:

“PartnerScout system” – the referral platform operated by DATAMOTION LTD, facilitating collaboration between business developers and advertisers within the PartnerScout ecosystem.

“Scout” – an independent business developer or agency who applies to collaborate with PartnerScout and, upon approval, may refer new affiliate partners or traffic sources.

“Advertiser” – a company or client listed within the Partner Scout ecosystem that runs one or more offers.

“Offer” – a set of commercial terms defined by an Advertiser, specifying permitted traffic types, payout structure, marketing guidelines, and compliance conditions.

“Referral” – a verified new partner or traffic source introduced to the ecosystem by a Scout through authorized PartnerScout channels.

“Commission” – the payment made to a Scout for verified referred activity in accordance with these Terms.

“KYB Verification” – the Know Your Business verification process conducted by PartnerScout to confirm the legitimacy of business entities collaborating with the platform.

2Use of Service

2.1. By using PartnerScout, you may submit an application to collaborate as an independent business developer (“Scout”) within the PartnerScout ecosystem.

2.2. To participate, you must complete the application form on the website and provide accurate and up-to-date information. After submission, the PartnerScout team will review your application and decide whether to proceed with verification and further contact. You will be notified about the outcome by email.

2.3. You are responsible for ensuring that the contact details you provide are secure and accessible only to you. PartnerScout may assume that any communication received via your provided contact information originates from you until notified otherwise.

2.4. PartnerScout processes personal data provided through the application form for the purpose of evaluating and managing collaboration opportunities. By submitting the application, you consent to such processing. For more details, please refer to the PartnerScout Privacy Policy.

3Acceptable Use

3.1. It is not permitted to use PartnerScout for any purpose that violates applicable laws or regulations of [country]. This includes, but is not limited to, transmitting or storing content that is defamatory, discriminatory, infringing, or otherwise unlawful.

3.2. If PartnerScout becomes aware of any violation of these Terms or receives a related complaint, it may take reasonable steps to investigate and, if necessary, suspend or terminate your access to the platform.

3.3. If PartnerScout believes that the continued operation of its systems or those of third parties is at risk — for example, due to excessive data transmission, security breaches, or malicious software activity - it may take all necessary measures to prevent or mitigate such damage.

3.4. PartnerScout reserves the right to report any unlawful activity conducted through or in connection with the platform to the appropriate authorities.

3.5. You are responsible for any losses or damages arising from your breach of these Terms and agree to indemnify PartnerScout against any third-party claims related to such violations.

4Compensation, Eligibility and Restrictions

4.1. Verified Scouts are eligible to receive a 5% commission on verified revenue generated by by the referrals implied to the PartnerScout ecosystem, up to a maximum of USD 100,000 per referred partner or for a period of two (2) years from the referred partner’s activation date, whichever occurs first.

4.2. Scouts act as independent business developers who introduce Referrals to active Advertisers (Offers) operating under specific commercial terms. Each Offer defines its own permitted traffic types, marketing channels, and compliance rules.

4.3. All collaborations and transactions of the Scout must be conducted and validated through the PartnerScout system. Any referral performed outside official communication and reporting channels is not eligible for commission.

4.4. Commissions are calculated in accordance with internal metrics of the Company via PartnerScout system and shall be binding for the Parties and only applicalbe for the Referrals which are implied into the PartnerScout system.

4.5. PartnerScout reserves the right to withhold, adjust, or cancel commission payments if:

a) the referred partner or traffic source engages in fraudulent, manipulative, or non-compliant practices (e.g., artificial traffic generation, incentivized sign-ups, misuse of offers);

b) the referred activity violates the rules or restrictions of any active Offer; or

c) the referred partner causes reputational or financial harm to Advertisers, PartnerScout, or related entities.

4.6. PartnerScout retains sole discretion to determine referral eligibility, validity of performance, and final commission amounts. Such determinations are final and binding.

4.7. Scouts are responsible for complying with all applicable tax laws and regulations regarding income earned through the program.

5Relationships and Legal Status

5.1. Scouts act as independent contractors. Nothing in these Terms shall be construed as creating an employer–employee relationship, partnership, joint venture, or agency between PartnerScout and any Scout. In no way the Scout is granted with the authority to enter into any agreements with the Referrals and potential partners. Authority of the Scout is limited solely by the Terms and by the conditions of the PartnerScout system.

5.2. Scouts are solely responsible for their business activities, expenses, and compliance with applicable laws and tax obligations.

6Verification and KYB

6.1. PartnerScout reserves the right to conduct Know Your Business (KYB) or similar verification procedures before or during collaboration.

6.2. Scouts must provide accurate and verifiable business information upon request. Failure to complete or pass the verification process may result in suspension or termination of participation in the program.

7Termination and Suspension

7.1. PartnerScout may suspend or terminate access to the platform or participation in the program at any time, with or without cause, by written notice.

7.2. Upon termination, any verified and approved unpaid commissions shall be processed according to the standard payout schedule.

7.3. Scouts found in violation of these Terms forfeit any unpaid commissions.

8Limitation of Liability

8.1. Fraud and Non-Compliant Traffic.

If a Scout refers partners or traffic sources (Referrals) that conduct fraud, abuse, chargeback schemes, artificial traffic generation, incentivized or misleading user acquisition, or violate other Offer rules, the Scout shall be fully liable for all direct financial losses incurred by PartnerScout and/or Advertisers as a result of such referral in case the Scout violates the applicable rules of the PartnerScout. PartnerScout may withhold, offset, and recover such losses from any outstanding or future commissions. In any case, the Scout is not entitled to receive commission in accordance with the fraudulent traffic or non-compliance with the promotional rules indicated in the Offer or available on the PartnerScout system. This sum may be deducted in future payments via set-off. No additional document is required to perform the set-off.

8.2. Disputes Over Referral Ownership.

If multiple Scouts claim credit for the same referral, PartnerScout will determine the applicable and entitled Scout based on the internal records (e.g. communication logs and referral timestamps) . PartnerScout’s determination is final and binding. No commission is payable until attribution is resolved.

8.3. Errors in Approval of Referral or Offer Terms.

If PartnerScout mistakenly approves a referral or assigns incorrect commercial terms, PartnerScout’s maximum liability is limited to the commissions payable for up to six (6) months from the referred partner’s activation date. No other compensation shall apply. UNDER NO CIRCUMSTANCES WILL PARTNERSCOUT, ITS SUBSIDIARIES, HEADS, DIRECTORS, EMPLOYEES OR CONTRACTORS BE LIABLE FOR LOST PROFIT OR INFORMATION LEAKAGE, OR FOR ANY SPECIAL, PUNITIVE, DIRECT OR CONSEQUENTIAL DAMAGES INCURRED AS A RESULT OF OR IN CONNECTION WITH THE WEBSITE OR WEBSITES,PARTNERSCOUT’S CUSTOMER SERVICES, OR THIS AFFILIATE AGREEMENT (UNDER ANY CIRCUMSTANCES), INCLUDING, BUT NOT LIMITED TO, ANY FAILURES OR MALFUNCTIONS OF ANY SOFTWARE, HARDWARE, COMMUNICATION TOOLS AND OTHER SYSTEMS. THE LIABILITY OF THE COMPANY AND ITS SUBSIDIARIES, HEADS, DIRECTORS, EMPLOYEES AND CONTRACTORS TO THE AFFILIATE AND ANY THIRD PARTIES UNDER ANY CIRCUMSTANCES WILL BE LIMITED TO THE GREATER OF THE PAYABLE COMMISSION FOR SIX (6) MONTHS.

8.4. Commission Calculation and Claims.

The Scout must review all commission reports upon receipt.

Any claim regarding incorrect commission calculation must be submitted in writing within fifteen (15) calendar days from the date the commission report was issued.

Claims submitted after this period will not be accepted.

If a claim is submitted in time, PartnerScout will review data from internal tracking and Advertiser reporting systems. PartnerScout’s final determination is binding.

8.5. Exclusion of Indirect Damages.

PartnerScout is not liable for any indirect, incidental, consequential, special, exemplary, or punitive losses, including loss of profits, business, data, or goodwill.

9 Confidentiality

9.1. Scouts may have access to non-public information about PartnerScout, its Advertisers, or partners. Such information must be treated as strictly confidential and may not be disclosed to third parties without prior written consent.

9.2. This confidentiality obligation remains in effect after termination of the collaboration.

10 Governing Law and Dispute Resolution

10.1. These Terms shall be governed by and construed in accordance with the laws of [country].

10.2. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts of [city, country].

11 Amendments

11.1. PartnerScout reserves the right to modify or update these Terms at any time without any negative effects for it.

11.2. Continued participation in the program after publication of updated Terms constitutes acceptance of the changes.
